Rule 12
Chairman of the General Meeting
The chairman of the committee may preside over every general meeting. If there is no such chairman, or if he is not present within 15 minutes of the time fixed for a meeting, or if he is not willing to preside after attending, the present shareholders shall elect another director as the chairman for that meeting. If all the directors are not present or are not willing to preside after being present, the shareholders present shall elect one of their number as chairman.
